Terms and Conditions — Agent Layer

1. Agreement to Terms

By accessing or using Agent Layer's services ("Services"), including our website at getagentlayer.com and our SMS/voice-based business assistant, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access the Services.

2. Description of Service

Agent Layer provides an AI-powered business assistant accessible via SMS text messaging and voice calls. The Service reads from and writes to Google Sheets and other connected business tools on behalf of authorized users. Agent Layer is an internal business tool intended for use by business owners and their authorized employees.

3. SMS/Text Messaging Terms

Program Name: Agent Layer Business Assistant

Program Description: AI-powered business assistant that sends pipeline updates, lead reminders, follow-up nudges, morning briefings, and business notifications via SMS. Users can also text commands to update their pipeline, log notes, check on team activity, and request reports.

Message Frequency: Message frequency varies based on your activity and pipeline. Up to 10 messages per day.

Message and Data Rates: Message and data rates may apply. Check with your mobile carrier for details.

Opt-In: By texting START or YES to our phone number, or by being enrolled by your employer, you consent to receive text messages from Agent Layer.

Opt-Out: Text STOP to cancel and stop receiving messages. You will receive a one-time confirmation, and no further messages will be sent.

Supported Carriers: All major US carriers are supported, including AT&T, T-Mobile, Verizon, Sprint, and others. Agent Layer is not liable for delayed or undelivered messages.

4. User Accounts and Access

Access to Agent Layer is provisioned by the subscribing business owner ("Account Owner"). The Account Owner is responsible for:

Ensuring all users added to the Service are authorized employees or contractors of their business.
Obtaining consent from each team member before adding their phone number to the Service.
Maintaining the accuracy of the information stored in their connected Google Sheets and other tools.

5. Acceptable Use

You agree not to use the Service to:

Send unsolicited commercial messages (spam) to anyone.
Harass, threaten, or harm any person.
Violate any applicable laws or regulations.
Transmit any viruses, malware, or harmful code.
Attempt to gain unauthorized access to our systems or other users' data.
Use the Service for any purpose other than legitimate internal business operations.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Key points:

Your business data remains in your own Google Sheet on your own Google account.
Agent Layer reads and writes data to your Sheet on your behalf but does not independently store your business data on our servers.
SMS interaction logs may be stored for service quality and troubleshooting purposes.
We will never sell your personal information or share your phone number with third parties for marketing purposes.

7. Payment Terms

Agent Layer subscriptions are billed monthly. A one-time setup fee is charged at the beginning of service. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

Payments are processed via Stripe.
All fees are non-refundable unless otherwise stated in writing.
If payment fails, we may suspend access to the Service until payment is resolved.
Prices may change with 30 days' written notice.

8. Service Availability and Limitations

We strive to maintain high availability but do not guarantee uninterrupted service. Agent Layer relies on third-party services including Twilio, Google Sheets API, and OpenAI, and may be affected by outages or limitations of those services.

The AI assistant provides responses based on the data in your Google Sheet and general language understanding. It is not a substitute for professional advice (legal, financial, medical, or otherwise). You are responsible for reviewing and verifying any information or actions taken by the assistant.

9. Limitation of Liability

To the maximum extent permitted by law, Agent Layer shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you have paid to Agent Layer in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate the Service at any time. You may cancel your subscription by contacting us at hello@getagentlayer.com. Upon termination:

Your access to the Agent Layer phone number will be deactivated.
Your Google Sheet data remains yours and is unaffected.
No further messages will be sent to your team.
Outstanding balances remain due.

11. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. We will notify you of material changes by email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.
